Tal Karplus, Maya Koubi Bara-nes, Jonathan Neumann, and Julia Shneiderman represented Epitomee Medical, a medical device company that develops a capsule for inducing weight loss and preventing diabetes, in a transaction with the medical food division of Nestlé Global. The transaction includes a license for the exclusive marketing and distribution of the product, a production and supply agreement, and a convertible loan agreement to finance the construction of the production line. Epitomee will receive over USD 100 million in down payment and milestones, in addition to receiving royalties from product marketing.
