Representation of Spice VC in founding and building their Variable Capital Company, SPICE VC VCC

We represented Spice VC in the formation of Spice VC VCC, a variable capital company (“VCC”) incorporated under the Variable Capital Companies Act in the Republic of Singapore. The VCC structure allows for the establishment of multiple sub-funds. The first Sub-Fund established is Spice II, with a target fund size of $250 million USD. The objective of Sub-Fund 1 is to invest in early-stage private companies that develop platforms or services leveraging Blockchain technologies across all sectors, with a specific focus on the US, Israel, and Europe.

In the framework of our representation as Israeli counsel, we thoroughly reviewed the private placement memorandum, subscription agreement, management and advisory agreements, and provided our comments and advice in connection with the offering documents.
